What the Court held

The Court examined whether the asserted transaction satisfied the statutory character of financial debt for a Section 7 proceeding and reiterated the distinction between insolvency resolution and using the Code as a mere recovery device.

Why it matters

Before commencing an IBC proceeding, the creditor should be able to establish the statutory nature of the debt, default and maintainability—not simply non-payment. For corporate debtors, the transaction documents and accounting treatment can be decisive.

Practice note

IBC analysis is statute-specific. The legal character of the transaction should be tested against the Code and the evidence, rather than inferred from the commercial label used by the parties.
